Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Héctor Moyano Vélez, NIF 52006446L, trading as Respondo ("Respondo," "we," "us," or "our"), an autónomoestablished in Spain, governing your access to and use of the Respondo software-as-a-service platform, including all associated features, APIs, and support services (collectively, the "Service").
Please read these Terms carefully before accessing or using the Service. By creating an account, clicking "I agree," or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.
1. Acceptance of Terms
Access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. You must be at least 18 years of age to use the Service. By accessing the Service, you represent and warrant that you meet this age requirement.
If you are accessing or using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms, and that your acceptance of these Terms constitutes the agreement of that entity. In such cases, "you" and "your" will refer to that entity.
If you do not agree to these Terms, you must not access or use the Service. Continued use of the Service after any modification to these Terms constitutes your acceptance of the updated Terms.
2. Service Description
Respondo is a B2B SaaS platform that provides communication automation infrastructure to service businesses, including salons, spas, clinics, and similar professional service providers. The Service enables businesses to automate client communications via SMS, including appointment reminders, follow-up messages, and operational notifications.
The Service operates on a multi-tenant architecture. Each subscribing business (a "Tenant") receives an isolated workspace with dedicated data storage and access controls. Tenant data is logically separated from that of other Tenants, and Respondo implements technical and organizational measures to maintain this isolation.
The specific features and usage limits available to you depend on the subscription plan you have selected. Respondo reserves the right to modify, update, or discontinue features of the Service at any time, subject to the notice obligations set out in Section 13 of these Terms. Respondo does not guarantee that the Service will be available at all times or that it will be free from errors, interruptions, or security vulnerabilities.
3. Account Registration
To access the Service, you must register for an account by providing accurate, current, and complete information as prompted by the registration process. You agree to maintain and promptly update your account information to keep it accurate, current, and complete at all times.
Each subscription corresponds to a single business entity. You may not create multiple accounts for the same business, or create accounts on behalf of a third party without their explicit authorization. Respondo reserves the right to suspend or terminate accounts that violate this policy.
You are solely responsible for maintaining the confidentiality of your account credentials, including usernames, passwords, and any API keys associated with your account. You are responsible for all activity that occurs under your account, whether or not authorized by you. You must notify Respondo immediately at privacy@hectormoyanovelez.com if you become aware of any unauthorized access to or use of your account. Respondo will not be liable for any loss or damage arising from your failure to maintain the security of your credentials.
4. Subscription Plans & Billing
The Service is offered under the following subscription tiers, each with distinct feature sets and usage limits as described on the Respondo pricing page:
- Starter — $29 per month. Designed for small businesses getting started with automated client communication.
- Professional — $79 per month. Includes expanded message limits and access to advanced automation features.
- Enterprise — $299 per month. Includes all features, highest usage limits, API access, and priority support.
All payments are processed by Stripe, Inc. ("Stripe"), a third-party payment processor. By subscribing to the Service, you agree to Stripe's terms of service and authorize Respondo to instruct Stripe to charge your designated payment method on a recurring basis according to your chosen billing cycle (monthly or annual, where applicable).
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. Cancellation takes effect at the end of the current billing period; you will retain access to the Service until that date. Respondo does not issue refunds for partial billing periods, unused message credits, or unused features, except where required by applicable law.
Respondo reserves the right to modify subscription pricing with at least 30 days' advance written notice sent to the email address associated with your account. If you do not wish to accept the new pricing, you must cancel your subscription before the price change takes effect. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
All prices are stated in US Dollars (USD) unless otherwise indicated. If your payment method fails or your account is past due, Respondo reserves the right to suspend access to the Service until payment is received. You are responsible for any taxes, levies, or duties imposed by tax authorities in your jurisdiction, including VAT where applicable.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for all content you send through the Service, including all SMS messages, automated communications, and data imported into the platform. The following activities are strictly prohibited:
- Sending unsolicited commercial messages (spam), bulk messages to recipients who have not opted in, or any communications in violation of anti-spam laws, including the Spanish Ley de Servicios de la Sociedad de la Información (LSSI-CE) and EU Directive 2002/58/EC.
- Sending messages containing illegal, defamatory, obscene, abusive, threatening, or harassing content, or content that infringes the intellectual property rights of any third party.
- Using the Service to harass, intimidate, or harm any individual or group of individuals.
- Attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service or any component thereof.
- Circumventing or attempting to circumvent any rate limits, usage restrictions, or technical controls implemented by Respondo.
- Sharing, selling, sublicensing, or otherwise transferring account credentials or API keys to third parties without Respondo's prior written consent.
- Using the Service in a manner that disrupts, degrades, or impairs the availability or performance of the Service for other users.
- Violating any applicable laws or regulations, including telecommunications regulations governing SMS and voice communications in the jurisdictions where your end clients are located.
- Using the Service to process Protected Health Information (PHI) as defined under the U.S. Health Insurance Portability and Accountability Act (HIPAA), or as a HIPAA Covered Entity or Business Associate, without a separate written Business Associate Agreement executed with Respondo. The Service is not currently offered for HIPAA-covered purposes, and use of the Service for such purposes without a BAA is a material breach of these Terms.
Customer representation and warranty. By registering and using the Service you represent and warrant that you are not a Covered Entity or Business Associate under HIPAA, and that you will not use the Service to process PHI without first obtaining a written Business Associate Agreement from Respondo. You agree to notify Respondo immediately at privacy@hectormoyanovelez.com if this ever ceases to be true.
Respondo reserves the right to investigate suspected violations of this policy and may suspend or terminate your account immediately and without prior notice if Respondo reasonably believes a violation has occurred or is ongoing, including any use of the Service with PHI or by a HIPAA-covered healthcare practice.
6. Data & Privacy
The collection and processing of personal data in connection with your use of the Service is governed by the Respondo Privacy Policy, available at /legal/privacy. You agree to the terms of the Privacy Policy, which is incorporated into these Terms by reference.
With respect to the personal data of your end clients (i.e., the consumers who interact with your business), you act as the data controller within the meaning of the EU General Data Protection Regulation (GDPR) and applicable Spanish data protection law (Ley Orgánica 3/2018, LOPDGDD). You are responsible for ensuring that you have a valid legal basis for processing your end clients' personal data through the Service, and for providing appropriate privacy notices to those individuals.
Respondo acts as a data processor on your behalf with respect to your end clients' personal data. Respondo will process such data only on your documented instructions and in accordance with applicable data protection law. A Data Processing Agreement ("DPA") governing this relationship is available at /legal/dpa. By using the Service, you agree to the terms of the DPA, which forms part of these Terms.
You are responsible for ensuring that any personal data you upload to or process through the Service complies with applicable data protection regulations, including obtaining necessary consents from your end clients where required.
7. Intellectual Property
The Service, including all software, algorithms, user interfaces, designs, trademarks, trade names, and documentation, is owned by Respondo and its licensors and is protected by Spanish, EU, and international intellectual property laws. Nothing in these Terms transfers any ownership of intellectual property rights to you.
Subject to your compliance with these Terms and timely payment of all applicable fees, Respondo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business operations during the term of your subscription.
You retain full ownership of all data, content, and materials that you upload to or create within the Service ("Customer Data"). You grant Respondo a limited, non-exclusive license to access, process, and store Customer Data solely as necessary to provide the Service. Respondo does not claim any ownership rights in Customer Data and will not use it for any purpose other than providing and improving the Service, as further described in the Privacy Policy.
8. API Usage
Access to the Respondo API is available exclusively to customers on the Enterprise subscription plan. Enterprise customers may use the API to integrate the Service with their own systems and workflows, subject to the terms of this Section and the API documentation provided by Respondo.
API usage is subject to rate limits as documented in the API reference. Respondo reserves the right to throttle or suspend API access if usage patterns suggest abuse, excessive consumption, or activity that negatively impacts the Service for other users. API keys are confidential credentials and must not be shared, published, embedded in client-side code, or otherwise disclosed to unauthorized parties. You are responsible for all API requests made using your API keys.
You may not use the API to scrape, harvest, or systematically extract data from the Service beyond what is reasonably necessary for your legitimate integration use case. Respondo reserves the right to modify, deprecate, or discontinue API endpoints with reasonable advance notice where technically feasible.
9. Third-Party Integrations
The Service relies on third-party services to deliver certain functionality. These include, without limitation:
- Twilio Inc.— for SMS and voice communication delivery. Your use of SMS features through the Service is subject to Twilio's acceptable use policies and applicable telecommunications regulations.
- Stripe, Inc.— for payment processing and subscription management. Your payment data is processed directly by Stripe and is subject to Stripe's privacy policy and terms of service.
- Clerk, Inc.— for user authentication and identity management. Account login and session management are handled by Clerk and subject to Clerk's terms and privacy policy.
Respondo is not responsible for the availability, reliability, security, or performance of any third-party services. Outages, changes, or errors affecting third-party services may impact the availability or functionality of the Respondo platform. Respondo will use commercially reasonable efforts to notify customers of known third-party service disruptions but assumes no liability for such events.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Respondo's total aggregate liability to you for any claim arising out of or related to these Terms or the Service — whether in contract, tort (including negligence), strict liability, or otherwise — shall not exceed the total amount paid by you to Respondo in the twelve (12) months immediately preceding the event giving rise to the claim.
To the maximum extent permitted by applicable law, Respondo shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or cost of substitute services, even if Respondo has been advised of the possibility of such damages.
Respondo shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from causes beyond Respondo's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet infrastructure failures, government actions, or failures of third-party service providers ("Force Majeure Events"). In the event of a Force Majeure Event, Respondo will notify you as soon as reasonably practicable and will use commercially reasonable efforts to resume performance as quickly as possible.
Nothing in these Terms limits or excludes liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
11. Indemnification
You agree to indemnify, defend, and hold harmless Respondo, its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service in violation of these Terms or any applicable law or regulation;
- Any Customer Data or communications you send or transmit through the Service, including any claims that such content infringes the intellectual property rights, privacy rights, or other rights of any third party;
- Your failure to obtain required consents from your end clients for communications sent through the Service; or
- Any dispute between you and one of your end clients arising from the use of the Service.
Respondo reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with Respondo's defense of such claims and not to settle any such matter without Respondo's prior written consent.
12. Termination
Either party may terminate the subscription and these Terms by providing at least 30 days' written notice to the other party. You may initiate cancellation through your account settings or by contacting Respondo at privacy@hectormoyanovelez.com.
Respondo may suspend or terminate your access to the Service immediately and without prior notice if: (a) you materially breach these Terms and fail to cure such breach within 7 days of receiving written notice; (b) you engage in conduct that Respondo reasonably determines poses a risk to the security, integrity, or availability of the Service or to other users; (c) Respondo is required to do so by law or by order of a competent authority; or (d) you fail to pay any amounts due under these Terms after a reasonable cure period.
Following termination of your subscription for any reason, Respondo will retain your Customer Data for a period of 30 days, during which you may request a complete export of your data by contacting privacy@hectormoyanovelez.com. After this 30-day period, Respondo will delete your Customer Data from its systems in accordance with its data retention policies, except as required to be retained by applicable law.
Upon termination, all licenses granted to you under these Terms immediately cease, and you must discontinue all use of the Service. Sections of these Terms that by their nature should survive termination — including Sections 7, 10, 11, and 14 — will continue in full force and effect.
13. Modifications to these Terms
Respondo reserves the right to modify these Terms at any time. If Respondo makes material changes to these Terms, Respondo will provide at least 30 days' advance written notice by sending an email to the address associated with your account and by posting the updated Terms on the Respondo website with a new "Last updated" date.
If you do not agree to the modified Terms, you must cancel your subscription before the effective date of the changes. Your continued use of the Service after the effective date of the modified Terms constitutes your acceptance of and agreement to be bound by the updated Terms. For non-material changes (such as typographical corrections, clarifications, or updates to reflect changes in applicable law), Respondo may update these Terms with immediate effect and without prior notice.
14. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles.
The parties irrevocably agree that the courts of the city of Madrid, Spain, shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter or formation. Notwithstanding the foregoing, nothing in this Section prevents Respondo from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
Where you are a consumer resident in the European Union, you benefit from any mandatory consumer protection provisions of the law of the EU member state in which you reside that cannot be derogated from by agreement. Nothing in these Terms affects your rights as a consumer under applicable EU law. The European Commission provides an online dispute resolution platform for consumers at https://ec.europa.eu/consumers/odr.
